All conditions of the acquisition, which had been announced on 9 August 2016, have now been met</strong><strong>.</strong><br />

The acquisition adds around &euro;1.7 billion to Van Lanschot&rsquo;s assets under management and helps us to make further progress with our wealth management strategy. Richard Bruens, Van Lanschot Executive Board member responsible for Private Banking, commented: &ldquo;We are delighted to welcome Staalbankiers&rsquo; clients. This acquisition is an important milestone in our AuM growth and enables us to reach even larger numbers of clients with our wide range of private banking services. Being able to welcome on board as new colleagues 25 highly qualified Staalbankiers private bankers and investment experts will serve to enhance our position as a distinctive wealth manager. We can learn a lot from each other and together create an even stronger private bank.&rdquo;<br />

<strong>Conditions met</strong><br />
DNB has issued declarations of no-objection to Van Lanschot and Staalbankiers, while the respective works councils have also given the go-ahead.<br />

<strong>About the transaction</strong><br />
Van Lanschot is taking over private banking clients accounting for around &euro;1.7 billion in assets under management, around &euro;300 million in savings and a small number of securities-backed loans. In addition, 25 of Staalbankiers&rsquo; private bankers and investment experts joined Van Lanschot on 15 December. The transaction does not involve any other Staalbankiers activities. Staalbankiers clients and employees will be advised of the takeover today.</strong><br />
<br />
In addition to Staalbankiers&rsquo; private banking client relationships, Van Lanschot will acquire around &euro;1.7 billion in assets under management, around &euro;280 million in savings and a limited number of securities based loans. Furthermore, a total of 25 private bankers and investment experts of Staalbankiers will transfer to Van Lanschot. The deal does not involve the other activities of Staalbankiers, which include a portfolio of approximately &euro;250 million in mortgages and 35 employees.<br />

Van Lanschot will pay an initial acquisition price of &euro;16 million for the activities to be acquired. The final price may be higher or lower depending on the AuM amount that will actually transfer to Van Lanschot. The transaction is subject to a number of conditions, including declarations of no-objection issued by De Nederlandsche Bank (DNB) and the completion of the employee consultation procedures involving the Van Lanschot and Achmea works councils.<br />
